1. Acceptance of Terms

By accessing or using XT Systems services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

2. Description of Services

XT Systems provides AI-powered automation and productivity tools for managed service providers (MSPs) and IT professionals. Our Services include but are not limited to:

• AI agent automation and orchestration
• Integration with third-party tools and platforms
• Token-based usage billing
• Team collaboration features

3. AI Services Disclaimer and User Responsibility

⚠️ IMPORTANT: YOU ACKNOWLEDGE AND AGREE THAT:

• AI systems can make mistakes — just like human employees may — including producing inaccurate outputs, misinterpreting instructions, or taking unintended actions
• You are solely responsible for all instructions, prompts, and commands you provide to AI agents through our Services
• You are solely responsible for reviewing, validating, and approving any actions the AI proposes or takes on your behalf
• XT Systems bears no responsibility for any outcomes, damages, data loss, service disruptions, or consequences resulting from AI agent actions, whether intended or unintended
• You should never instruct an AI agent to perform destructive, irreversible, or critical operations without appropriate safeguards, backups, and human oversight
• The AI may misinterpret instructions, execute commands incorrectly, or produce unexpected results — you accept full responsibility for any such occurrences

By using our AI Services, you expressly acknowledge that you understand the inherent risks of AI automation and accept full responsibility for all outcomes.

4. Third-Party Integrations and Connected Services

⚠️ CRITICAL NOTICE REGARDING EXTENSIONS AND INTEGRATIONS:

• When you enable extensions or grant AI agents access to third-party services (including but not limited to ticketing systems, RMM tools, email platforms, databases, cloud services, or any connected system), you assume full and complete responsibility for all actions the AI takes within those connected services
• XT Systems is not responsible for any data modification, deletion, corruption, or loss in connected third-party services
• XT Systems is not responsible for any unauthorized actions, access, or changes made by AI agents in connected services
• XT Systems is not responsible for any financial costs, penalties, or liabilities incurred through AI actions in connected services
• You are responsible for configuring appropriate permissions, access controls, and limitations for AI agent access to connected services
• You should regularly audit AI agent activities in connected services and maintain appropriate backups

5. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to systems
• Interfere with the proper functioning of the Services
• Use the Services to harm, threaten, or harass others
• Attempt to circumvent usage limits or billing mechanisms
• Use the Services to perform attacks, exploits, or malicious activities against any systems

7. Payment, Billing, and Refund Policy

💳 TOKEN PURCHASES AND SUBSCRIPTIONS:

• All token purchases, including one-time top-ups and recurring monthly subscriptions, are final and non-refundable
• Token purchases represent prepayment for compute resources that XT Systems must procure and reserve to serve your usage
• Whether or not you use your purchased tokens, or whether you cancel your subscription, XT Systems remains obligated for the underlying compute resources committed on your behalf
• Unused tokens do not expire but are non-refundable and non-transferable
• You may cancel recurring subscriptions at any time, but no refunds will be issued for the current billing period or any previously purchased tokens
• XT Systems reserves the right to modify pricing with reasonable notice; existing token balances will not be affected by price changes

By purchasing tokens or subscribing to our Services, you acknowledge and agree to this no-refund policy.

8. Data Retention, Backup, and User Responsibility

⚠️ CRITICAL DATA MANAGEMENT NOTICES:

• Agent Workspaces: AI agent workspaces are subject to a retention period of 30 days of inactivity. Inactive workspaces may be purged without notice. In cases of system maintenance, resource constraints, or operational needs, workspaces may be purged sooner than 30 days.
• User Data: While XT Systems implements reasonable backup procedures and takes measures to prevent data loss, we cannot guarantee that data loss will never occur. You are solely responsible for maintaining backups of your important data.
• Export Features: Most pages in our application provide export functionality, allowing you to download and backup your conversations, automation chains, custom prompts, and other data. You are strongly encouraged to regularly export and backup your data.
• No Guarantee: XT Systems does not guarantee the availability, integrity, or preservation of any user data, including but not limited to conversations, configurations, chains, prompts, or any other content stored within the Services.
• Your Responsibility: The ultimate responsibility for preserving your data lies with you. We provide tools for data export — it is your responsibility to use them.

9. Intellectual Property

The Services, including all content, features, and functionality, are owned by XT Systems and are protected by intellectual property laws. You retain ownership of any content you submit through the Services, but grant us a license to use it in connection with providing the Services.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS OF AI OUTPUTS
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES THAT AI AGENTS WILL PERFORM AS EXPECTED OR WITHOUT ERROR
• WARRANTIES REGARDING DATA PRESERVATION OR BACKUP

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• XT SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES
• XT SYSTEMS SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM AI AGENT ACTIONS OR OUTPUTS
• XT SYSTEMS SHALL NOT BE LIABLE FOR ANY DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS
• XT SYSTEMS SHALL NOT BE LIABLE FOR ANY DAMAGES TO THIRD-PARTY SERVICES OR SYSTEMS CONNECTED THROUGH INTEGRATIONS
• XT SYSTEMS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM

13. Indemnification

You agree to indemnify, defend, and hold harmless XT Systems, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Actions taken by AI agents on your behalf or under your account
• Your use of integrations or connected third-party services
• Any content you submit or transmit through the Services
• Your violation of any third-party rights

14. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• Any unused tokens in your account will be forfeited
• You should export any data you wish to retain before termination
• We may delete your data in accordance with our data retention policies

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. You will be prompted to accept updated Terms upon your next login. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and XT Systems regarding the Services and supersede all prior agreements and understandings.
